This End User License Agreement ("Agreement") is a legal agreement between you and NEED4SWEDE LLC ("we," "us," or "Licensor") governing your use of Neptune, Neptune Pro, and related services (collectively, "Neptune"). By downloading, purchasing, or using Neptune, you agree to this Agreement. If you do not agree, do not use Neptune.
1. Acknowledgement
This Agreement is concluded between you and Licensor only, not with Apple Inc. ("Apple"). Licensor, not Apple, is solely responsible for Neptune and its content. This Agreement may not provide for usage rules that conflict with the Apple Media Services Terms and Conditions, which also apply to your use of Neptune. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance or support services with respect to Neptune.
2. About Neptune
Neptune is a client for media servers and related services, including Jellyfin, Plex, and Seerr. Neptune does not sell, host, or supply your media library. Features, integrations, and supported platforms may change over time.
3. Scope of License
Licensor grants you a personal, limited, non-exclusive, non-transferable, revocable license to use Neptune on Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions (except that Neptune may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing, where available). Licensor reserves all rights in and to Neptune not expressly granted to you under this Agreement.
This Agreement governs any content, materials, or services accessible from or purchased within Neptune, as well as updates provided by Licensor that replace or supplement Neptune, unless a separate license accompanies the update.
4. Acceptable Use
You may not:
- Use Neptune to access, copy, or distribute content without the rights required by law.
- Attempt to bypass security, purchase, entitlement, rate-limit, or access controls.
- Interfere with Neptune's hosted services or use them unlawfully, abusively, or at unreasonable automated scale.
- Copy, distribute, or make Neptune available over a network where it could be used by multiple devices at the same time, except as permitted by the Usage Rules.
- Transfer, redistribute, or sublicense Neptune. If you sell your Apple device to a third party, you must remove Neptune from the device before doing so.
- Reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of Neptune, any updates, or any part thereof, except to the extent any such restriction is prohibited by applicable law or expressly permitted by the license terms governing open-source components included with Neptune.
5. Your Servers, Accounts, and Content
You are responsible for the servers and accounts you connect, the security of your credentials, and ensuring you have permission to access and play the content in your library. Neptune does not control or endorse content supplied by you, your server administrator, or a third-party service.
6. Neptune Pro Purchases
- Prices, billing periods, trial eligibility, and the features included in Neptune Pro are shown before purchase and may vary by storefront.
- Monthly and yearly plans automatically renew unless cancelled at least 24 hours before the end of the current period. Apple charges your Apple Account and manages billing.
- An eligible free trial converts to the selected paid plan unless cancelled before the trial ends.
- You can manage or cancel a subscription in your Apple Account subscription settings. Deleting Neptune does not cancel a subscription.
- A Lifetime purchase is a non-consumable entitlement to the Pro features offered under that product. Buying Lifetime does not automatically cancel a separate subscription.
- Pro features that depend on hosted services or third-party providers (including AI-assisted features and metadata services) may evolve, be replaced with reasonable substitutes, or be discontinued as described in Sections 12 through 14. A Lifetime purchase is an entitlement to the Pro feature set as it exists from time to time, not a guarantee that any specific hosted or third-party-dependent feature will remain available indefinitely.
- Purchases, refunds, Family Sharing, billing disputes, and storefront availability are also governed by Apple's terms and policies.
7. Consent to Use of Data
You agree that Licensor may collect and use technical data and related information, including but not limited to technical information about your device, system and application software, and peripherals, gathered periodically to facilitate software updates, product support, and other services related to Neptune. Licensor may use this information, in a form that does not personally identify you, to improve its products or to provide services or technologies to you. Any collection and use of data is also subject to Neptune's Privacy Policy.
8. Maintenance and Support
Licensor is solely responsible for providing any maintenance and support services with respect to Neptune, as specified in this Agreement or as required under applicable law. You acknowledge that Apple has no obligation to furnish any maintenance and support services with respect to Neptune.
9. Warranty
To the maximum extent permitted by applicable law, Neptune is provided "as is" and "as available," with all faults and without warranty of any kind, and Licensor disclaims all warranties and conditions with respect to Neptune, whether express, implied, or statutory, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, non-infringement of third-party rights, and uninterrupted or error-free availability. Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights of a consumer, so the above exclusions may not apply to you. Nothing in this Agreement excludes rights that applicable law does not allow us to exclude.
In the event of any failure of Neptune to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for Neptune (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Neptune, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Licensor's sole responsibility.
10. Product Claims
Licensor, not Apple, is responsible for addressing any claims by you or any third party relating to Neptune or your possession and/or use of Neptune, including but not limited to: (i) product liability claims; (ii) any claim that Neptune fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. This Agreement does not limit Licensor's liability to you beyond what is permitted by applicable law.
11. Third-Party and External Services
Neptune can connect to services operated by others, including media servers, metadata providers, AI providers, and Apple StoreKit (collectively, "External Services"). Their availability, content, accuracy, security, and conduct are outside Licensor's control and governed by their respective terms and privacy policies. You agree to comply with all applicable third-party terms of agreement when using Neptune, including, for example, the terms of your media server software, metadata providers, and your wireless data service agreement. You agree to use External Services at your sole risk, and solely in a manner consistent with this Agreement and applicable law. You agree not to use External Services to harass, abuse, stalk, threaten, or defame any person or entity, or to infringe the intellectual property rights of Licensor or any third party, and Licensor is not responsible for any such use. External Services may not be available in all languages or locations. Licensor may modify, suspend, restrict, or remove an integration or External Service at any time, including when required by law, provider terms, security, or technical changes.
12. Hosted Services, AI Features, and Fair Use
Hosted features may be subject to reasonable usage, capacity, safety, and abuse-prevention limits. We may temporarily restrict a hosted feature to protect users or service availability.
Some Neptune features use artificial intelligence, including hosted AI services, to generate content such as recommendations, summaries, or metadata enhancements ("AI Output"). AI Output is generated automatically, may be inaccurate, incomplete, or outdated, and is provided for informational and convenience purposes only. AI Output does not constitute professional advice of any kind, and you should not rely on it as a sole source of truth. To the maximum extent permitted by applicable law, Licensor makes no warranty as to the accuracy, completeness, or reliability of any AI Output.
13. Availability and Changes
We work to keep Neptune reliable but do not promise uninterrupted or error-free operation. We may update Neptune, add or remove features, end support for a version, or discontinue a hosted service. Where reasonably possible, material changes affecting paid functionality will be communicated in advance.
14. Limitation of Liability
To the extent not prohibited by law, in no event shall Licensor be liable for personal injury or any indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever, including, without limitation, damages for loss of profits, loss of data, loss of content, business interruption, or any other commercial damages or losses, arising out of or related to your use of or inability to use Neptune, however caused, regardless of the theory of liability (contract, tort, or otherwise) and even if Licensor has been advised of the possibility of such damages. Some jurisdictions do not allow the limitation of liability for personal injury, or of incidental or consequential damages, so this limitation may not apply to you.
In no event shall Licensor's total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the greater of (a) the amount you paid for Neptune Pro in the twelve (12) months preceding the claim, or (b) fifty dollars ($50.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose. Nothing in this Agreement excludes liability that applicable law does not allow us to exclude.
15. Suspension and Termination
You may stop using Neptune at any time. This Agreement is effective until terminated by you or Licensor. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. We may suspend access to Neptune-hosted services for material violations, fraud, abuse, security risk, or legal requirements. Pro entitlement changes and refunds remain governed by Apple and applicable law.
16. Legal Compliance and Export
You may not use or otherwise export or re-export Neptune except as authorized by United States law and the laws of the jurisdiction in which Neptune was obtained. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties, including the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List.
17. U.S. Government End Users
Neptune and related documentation are "Commercial Items," as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with those provisions, the Commercial Computer Software and Commercial Computer Software Documentation are licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights granted to all other end users pursuant to the terms of this Agreement.
18. Third-Party Beneficiary
You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement, and that, upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.
19. Governing Law and Forum
Except to the extent that the mandatory consumer-protection laws of your country of residence apply, this Agreement and the relationship between you and Licensor shall be governed by the laws of the State of California, excluding its conflicts of law provisions. If you reside in the United States, you and Licensor consent to the exclusive jurisdiction and venue of the state and federal courts located in San Joaquin County, California, for any dispute arising out of or relating to this Agreement or Neptune, except where applicable law requires a different forum. If you are a citizen of any European Union country, or of the United Kingdom, Switzerland, Norway, or Iceland, and you reside in and access Neptune from that country, the governing law and forum shall be the laws and courts of your usual place of residence. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from application to this Agreement.
20. General
This Agreement, together with the Privacy Policy and any terms presented at the point of purchase, constitutes the entire agreement between you and Licensor regarding Neptune and supersedes all prior understandings on that subject. If any provision of this Agreement is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Licensor's failure to enforce any right or provision of this Agreement is not a waiver of that right or provision. You may not assign or transfer this Agreement or any rights under it; any attempted assignment is void. Licensor may assign this Agreement in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
21. Changes to This Agreement
We may update this Agreement. The effective date above identifies the current version. Continued use of Neptune after an update means you accept the revised Agreement to the extent permitted by law. Where reasonably possible, material changes will be communicated in advance.
